Terms of Service
These Terms of Service ("Terms") govern your access to and use of Conjunction, a browser-based Building Information Modeling (BIM) platform operated by Conjunction ("we," "us," "our"). By registering for or using the service, you agree to be bound by these Terms. If you do not agree, do not use Conjunction.
1. Account Creation and Eligibility
You create an account via magic link sent to your email address. One account per email address. You must be at least 16 years old to register. You are responsible for keeping your account credentials secure. You are liable for all activity under your account.
Conjunction reserves the right to suspend or terminate accounts that violate these Terms.
2. Subscription Tiers and Billing
2.1 Current Pricing (as of launch)

2.2 Billing Cycles
Subscriptions are billed monthly in advance. Changes to plan take effect at the next billing cycle. Downgrades take effect immediately; no pro-rated refunds for partial months.
2.3 Failed Payments
If a payment fails, we will notify you and retry within 5 days. After 30 days of failed payment, your account will be suspended and data retained for 90 days total from initial failure, then permanently deleted.
3. Content Ownership
You own your BIM models. All building geometry, annotations, issues, and design data you create or upload ("Your Content") remains your property. You grant Conjunction a non-exclusive, worldwide, royalty-free license to store, render, and display Your Content in connection with the service.
Conjunction claims no ownership rights over Your Content.
4. Acceptable Use
You may use Conjunction for lawful architectural and engineering design work. You may not use the platform for any purpose prohibited by our Content Policy, which is incorporated here by reference.
Prohibited uses include but are not limited to: modeling weapons, explosives, or any structure intended to cause harm. Violations of the Content Policy constitute a material breach of these Terms.
5. Prohibited Uses and Model Review
Conjunction uses automated scanning to detect prohibited content. Models flagged by this scan are locked pending review. You will be notified at each stage: flag, lock, review decision, and deletion if applicable.
Review timelines: Automated scans reviewed within 72 hours. Complex cases may take longer; we will notify you of extended timelines.
Appeal process: If you believe your model was incorrectly flagged, submit an appeal to content-review@conjunction.pro within 7 days of the decision. Include your account email, model identifier, and a description of the model's intended use.
False flag credit: If your appeal is successful (model cleared as legitimate), you will receive a 50% credit on your next 3 billing cycles.

6. Grace Period and Account Suspension
If your account is flagged for Tier 1 or Tier 2 violations:
- Flagged model: erased immediately upon confirmation
- All other models: read-only access for 30 days
- Day 30: full account suspension
- Day 60: full account and data deletion
You may export your non-flagged models during the 30-day read-only window. Conjunction will not delete data during this period except for confirmed prohibited content.
7. Account Termination
Immediate termination: For Tier 1 violations (weapons of mass destruction, lethal weaponry, explosives, improvised devices, or any object clearly designed for injury or death). All models deleted immediately. No refund.
30-day termination: For non-payment, prolonged TOS violations, or Tier 2 violations. All models retained for 30 days post-termination, then deleted.
User-initiated termination: You may delete your account at any time. Data is retained for 90 days post-deletion, then permanently removed.
8. Refund Policy
Conjunction does not issue cash refunds. If you cancel a subscription, you retain access through the end of your paid billing period. For service disruptions qualifying under the SLA, compensation is applied as a credit toward future invoices — not refunded as cash.
Credits expire after 12 months of account inactivity.
9. Data Retention
Active account data is retained indefinitely while your account is active. Upon cancellation or termination (other than immediate termination for Tier 1 violations), your data is retained for 90 days and then permanently deleted. Audit logs are retained for 12 months.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONJUNCTION'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE TOTAL SUBSCRIPTION FEES YOU PAID TO CONJUNCTION IN THE 12 MONTHS PRECEDING THE CLAIM.
Conjunction is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, regardless of the theory of liability.
This limitation does not apply to: (a) death or personal injury caused by our negligence; (b) fraud; or (c) any liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Conjunction and its officers, directors, and agents from any claim, liability, damage, or expense (including reasonable legal fees) arising out of your use of Conjunction, your violation of these Terms, or your violation of any third-party right.
12. Intellectual Property
The Conjunction platform, including its design, code, UI, and brand, is owned by Conjunction and protected by copyright and trademark law. You may not copy, reverse engineer, or reproduce any part of the platform without written permission.
Conjunction does not claim ownership of Your Content. You are responsible for ensuring you have all rights necessary to model any content you upload.
13. Third-Party Services
Conjunction integrates with Stripe (payments), OpenAI (AI renders), PeerJS (WebRTC collaboration), and cloud infrastructure providers. These services have their own terms and privacy policies. Conjunction is not responsible for the practices of third-party providers.
14. Modifications to the Service and Terms
We may modify Conjunction at any time, including by adding, removing, or changing features. Material changes to these Terms will be communicated via email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, USA, without regard to conflict of law principles.
Binding arbitration: Any dispute arising out of or related to these Terms or your use of Conjunction shall be resolved by binding arbitration under the rules of the American Arbitration Association, in New York, NY. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
16. Force Majeure
Conjunction is not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, government action, utility failures, and third-party service outages.
17. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver of future enforcement. These Terms constitute the entire agreement between you and Conjunction regarding your use of the service.
